TERMS AND CONDITIONS

For purposes of this legal statement, “UGENEBIO” refers collectively to UGENEBIO, UGENEBIO Technology, Inc, UGENE BIOTECHNOLOGY, Inc, and UGENEBIO Networks, LLC. UGENEBIO reserves the right to make changes to the following terms and conditions at any time.

  1. Independent Business Owner (IBO) Status: An IBO is an individual, partnership, or corporation registered as such at www.ugenebio.com and is authorized to sell UGENEBIO products.
  2. Independent Contractor Status: An IBO acknowledges that he/she is operating as an independent contractor, conducting business on his/her own behalf and not as an agent or employee of UGENEBIO. The IBO assumes responsibility for all applicable Federal and State income taxes, as well as FICA taxes, and agrees to comply with all relevant Federal, State, and Local laws. Furthermore, the IBO understands and agrees that he/she cannot legally obligate UGENEBIO or any of its entities through any promise or agreement, nor incur debt, expenses, or liabilities in the name or on behalf of UGENEBIO. Additionally, the IBO cannot waive any provisions outlined in UGENEBIO’s programs or IBO Agreements.
  3. Age and Eligibility: An IBO must be at least 18 years of age and legally eligible to work in the United States if he/she intends to sell products within the country.
  4. Supervisory Duties: Upon sponsoring individuals into the UGENEBIO compensation program, an IBO assumes the responsibility of supervising and supporting them. Additionally, the IBO is tasked with providing ongoing support to his/her commissionable downline IBOs. This support entails regular communication, which may include personal contact, phone calls, written correspondence, and attendance at IBO meetings, among other methods or combinations thereof.
  5. Presentation Guidelines: An IBO must adhere strictly to UGENEBIO’s guidelines when presenting the company’s products, services, and compensation plan. Any misrepresentation of UGENEBIO will result in termination from the compensation program, leading to the forfeiture of all commissions.
  6. Confidentiality Agreement: An IBO is prohibited from disclosing the list of his/her commissionable downline IBOs to any individuals, corporations, or entities. Failure to uphold this obligation may result in termination from the UGENEBIO compensation program.
  7. Retail Sales Policy: The UGENEBIO compensation program is primarily based on retail sales to consumers. While IBOs may purchase products for personal or family use, they should refrain from encouraging their commissionable downline IBOs to accumulate excessive inventory. To qualify for bonuses and advancement in UGENEBIO rankings, IBOs must meet published retail sales requirements for themselves and their downline.
  8. Non-Solicitation Agreement: IBOs are prohibited from soliciting other UGENEBIO IBOs to join other network marketing organizations. Violation of this agreement will result in termination from the UGENEBIO compensation program, leading to forfeiture of all commissions and bonuses, whether vested or not.
  9. Online Sales Restriction: IBOs are strictly prohibited from reselling products purchased from UGENEBIO on any online e-commerce platform. Failure to adhere to this policy may result in termination of their IBO status, leading to forfeiture of commissions and bonuses.
  10. Compliance: IBOs are required to thoroughly review UGENEBIO’s compensation plan, rules, regulations, policies, and procedures. They acknowledge that these documents are integral parts of their agreement and may be modified by UGENEBIO from time to time. UGENEBIO reserves the right to terminate an IBO who tarnishes the company’s reputation, violates any terms outlined in this agreement, company policies, or training manuals, or misrepresents UGENEBIO products or business opportunities by making claims contrary to the company’s official product literature and labels.
  11. Compensation Plan Amendments: While UGENEBIO pledges to maintain the fundamental structure of its compensation plan, it reserves the right to adjust the plan’s specific percentage values and numerical components as necessary. Any changes will be communicated to IBOs upon notification.
  12. Governing Law: This agreement shall be governed by the laws of the state of California. Any claims, disputes, or other matters arising between the parties of this agreement shall be brought before the Los Angeles County Court or the U.S. District Court in Los Angeles, California.
